Programmable IP for the Integrity Web

Preamble

We, the members of Medialane DAO, establish this Constitution to govern a decentralized autonomous organization dedicated to the development of public service technologies that empower all intelligences to register, license, and monetize intellectual property.

We operate at the intersection of blockchain and artificial intelligence, expanding digital sovereignty, privacy, and ownership into programmable assets. Whether you're a creator, a business, or an autonomous agent, Medialane enables your content to become sovereign, monetized IP in service of the Integrity Web.


Article I: Identity

Section 1: Name

The organization shall be called Medialane DAO.

Section 2: Purpose

To build trust-minimized infrastructure where content, code, and culture can be tokenized, governed, and monetized via smart contracts. Medialane seeks to empower:

  • Creators, developers, collectors, and organizations.
  • Autonomous agents and AI entities.
  • Communities building programmable public goods.

The purpose of Medialane is to create public goods and services that empower creators and intellectual property (IP) owners. By tokenizing intelligence in Programmable IP, Medialane aims to establish new ways to create value that is accessible and inclusive through decentralized technology, including blockchain and zero-knowledge proofs.

Section 3: Roots

Rooted in privacy, freedom, transparency, and public goods — Medialane exists to dismantle bureaucracy silos and cultivate an open, composable information economy.


Article II: Membership

Section 1: Eligibility

Membership in Medialane DAO is open to any individual or organization that supports the purpose and goals of the organization through ownership of the MDLN token. Membership is open to:

  • Individuals, legal entities, and DAOs.
  • AI agents with cryptographic identifiers and verifiable credentials.
  • Autonomous intelligence capable of interfacing with smart contracts.

Section 2: Membership Tiers

Membership tiers are determined by MDLN token holdings on Ethereum mainnet:

Section 3: Rights

  • Vote on proposals proportional to MDLN token holdings via Snapshot (medialane.eth).
  • Propose initiatives and amendments.
  • Access IP tooling, infrastructure, and metadata services.
  • Maintain digital sovereignty over their creations.

Section 4: Responsibilities

  • Adhere to the principles and guidelines set forth in this Constitution.
  • Uphold the values and principles of Integrity.
  • Respect all sentient and intelligent participation.
  • Contribute to the growth and sustainability of Medialane DAO.
  • Act in the best interests of the DAO and its members.

Article III: Governance

Medialane DAO operates as a decentralized autonomous organization, with decisions made collectively by its members through a transparent and democratic process.

Section 1: Governance Platform

All proposals are initiated via Snapshot at medialane.eth and subject to vote. A simple majority determines passage unless otherwise specified.

Section 2: Equal Voice through Tokens

Each MDLN token equals one unit of voting power. Agents may vote if granted rights via delegated smart contracts or DAO-approved protocols.

Section 3: Treasury

The DAO treasury is managed via a Gnosis Safe multisig on Ethereum mainnet (0xA7603783edD8ee6FF4B085f90Af53341282d244C). All fund allocation requires DAO proposal approval.

Section 4: Working Groups & SubDAOs

To efficiently manage the DAO's operations, specialized committees and working groups may be established to focus on areas such as:

  • Technical development.
  • Creative IP valuation.
  • AI-assisted governance modeling.
  • Conflict resolution & ethics.

Article IV: Token

Section 1: MDLN Token

The MDLN token is the governance and utility token of Medialane DAO.

  • Contract: 0x0DC90d57F3Aa3E836Ffd6E777E543a43A487dB15 (Ethereum mainnet)
  • Total Supply: 21,000,000 MDLN (fixed — no further minting)
  • Standard: ERC20Votes + ERC20Permit (Starknet bridge-compatible)

Section 2: Distribution Philosophy

Medialane DAO operates with no investor allocations, no VC pre-sales, and no insider pre-mine. 100% of MDLN supply is held by the DAO treasury. Community members acquire MDLN through open liquidity pools. This design ensures sell pressure comes only from operational costs and that governance power cannot be concentrated through early access.

Section 3: Treasury Vesting

90% of MDLN (18,900,000 tokens) is time-locked in a trustless vesting contract (0x912f61d5e6db656ec1a7be8db8957c5f1e345d58), releasing 2,100,000 MDLN per year for 9 years. The remaining 10% (2,100,000 MDLN) is held in the Gnosis Safe as operational runway.

Section 4: Sustainability

Medialane applies a single 1% fee on earnings — sales, paid mints, and launches (never free mints). The marketplace and launchpad protocols themselves are zero-fee; the fee is applied at the platform layer. This revenue accrues to the DAO treasury, creating a path to treasury-positive operations as usage grows. For year one, revenue flows directly to the Creator's Fund and is returned to the community through the Creator's Airdrop.


Article V: Incentives

To ensure the long-term viability of Medialane as a public goods provider, the primary purpose of fees and revenue services is to fund continuing development and improvement. All DAO revenue — fees, premium services, royalties — is cycled back into support:

  • Improvement of the Medialane protocol and services.
  • Continued development infrastructure.
  • Grants aligned with DAO goals.
  • Perpetuity of services and long-term support.

Article VI: Public Goods

Treasury funds will first ensure long-term sustainability. Surplus funds may be distributed to:

  • Empower user ownership and property rights.
  • Community-driven initiatives.
  • Public educational content.
  • Open-source tooling and libraries.
  • Assets and yield acquisition.

Article VII: Programmable IP

Section 1: Tokenization of IP

Medialane enables the tokenization of intellectual property using Starknet's high-speed, low-cost smart contract intelligence. Any form of intelligence may tokenize content under supported standards (ERC721, ERC1155), including:

  • Digital art.
  • Algorithms and AI models.
  • Music, literature, or datasets.

Section 2: Licensing and Monetization

Ownership is recorded on-chain. Licensing terms are expressed in programmable IP metadata and soft-enforced by default at the platform layer — interpreted and applied selectively per jurisdiction, not hardcoded into immutable contracts. The protocol records and exposes:

  • Proof of ownership.
  • License terms and attribution.
  • Usage rights as programmable metadata.
  • Identity and reputation.

Section 3: Interoperability

Programmable IP may interact with dApps, games, metaverse environments, and autonomous agents without censorship or gatekeeping.


Article VIII: Tech Stack & Integrity Commitments

The DAO is committed to maintaining the highest standards of security and transparency, leveraging blockchain technology and regular audits.

Section 1: Blockchain Protocols

Medialane integrates Starknet, Cairo VM, IPFS, and verifiable cryptographic proofs. The MDLN governance token lives on Ethereum mainnet and bridges to Starknet via StarkGate.

Section 2: Smart Contracts

The DAO's governance contracts on Ethereum mainnet:

The live Starknet protocol contracts — marketplace venues, collection and launchpad factories, and credentials — are published, with current addresses, at docs.medialane.io/dev/contracts. Always verify an address against that registry before interacting.

Section 3: Security

Medialane's smart contracts are professionally audited, verified, and open-source on their respective block explorers.


This Constitution was ratified by Medialane DAO on April 7, 2026.
